1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the website vyralink.online and any services provided by Vyralink LLC ("Company", "we", "us", or "our"), registered at 312W 2nd St, Unit A2299, Casper, WY 82601, United States. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
2. Services
Vyralink LLC provides e-commerce development, digital marketing, and strategic consulting services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written agreement or proposal signed by both parties. These Terms apply in addition to any such agreement.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our services. By engaging Vyralink LLC, you represent that you meet these requirements.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate, complete, and timely information necessary for service delivery
- Ensuring they hold the rights to any materials, assets, or content shared with us
- Reviewing and approving deliverables within agreed timelines
- Maintaining confidentiality of any access credentials shared with our team
5. Payment Terms
Payment terms, rates, and schedules are specified in the individual service agreement. Unless otherwise agreed in writing, invoices are due within 14 days of issuance. Late payments may incur interest at a rate of 1.5% per month. Vyralink LLC reserves the right to suspend services for overdue accounts.
6. Intellectual Property
Upon full payment of all fees, clients receive ownership of the final deliverables specifically created for them under a service agreement. Vyralink LLC retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary processes used in delivering services. We reserve the right to reference the client relationship in our portfolio unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Vyralink LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website. Our total liability for any claim shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
9. Warranties and Disclaimers
We provide our services with reasonable skill and care. However, we do not guarantee specific business outcomes, revenue targets, or search rankings, as results depend on factors outside our control. Our website and services are provided "as is" without warranties of any kind beyond those required by law.
10. Termination
Either party may terminate a service agreement with 30 days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of Natrona County, Wyoming.
12. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
